AudilyNow Terms of Service

1. Acceptance of these terms

By creating an AudilyNow account, placing an order, or otherwise using the AudilyNow service (“Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a legally binding contract between you and AudilyNow (“we”, “our”, “us”), and incorporate by reference our Privacy Policy.

2. The Service

AudilyNow generates short custom songs using AI. You provide a creative brief (recipient, occasion, genre, mood, story); we produce an AI-generated audio preview; if you approve and pay $10 (or current price), we deliver the final MP3 and a shareable web page.

The Service is provided “as is” and “as available”. We do not guarantee that any particular song will meet your subjective expectations.

3. Eligibility

You must be at least 13 years old to use the Service. AudilyNow does not knowingly collect data from anyone under 13, and we reject registrations where the date of birth provided indicates an age below 13. If you are between 13 and 18 (or your local age of majority), a parent or guardian must agree to these Terms on your behalf.

We may refuse service or terminate accounts at our discretion in the event of abuse, fraud, sanctions/export-control violations, or repeated submission of content prohibited under Section 6.

4. Payment, refunds, and pricing

4.1 Pricing

The price of a custom song is $10 USD per song unless otherwise stated at the time of order. We may change pricing at any time, but the price you see at checkout is the price you pay for that order.

4.2 Payment processing

Payments are processed by Stripe. We do not see, store, or process your card details. By placing an order, you also accept Stripe’s terms of service.

4.3 Refunds

  • Pre-delivery (before you click “Approve & Checkout”): full refund or cancellation at no cost. You can abandon the order at any point before checkout with zero charge.
  • Post-delivery — quality issues: if the delivered song is fundamentally broken (silent file, severe audio glitches, lyrics that disregard your brief in a way a reasonable customer would not accept), contact us within 48 hours of delivery and we will either re-generate the song or issue a full refund. We respond to quality-issue requests within 1 business day.
  • Post-delivery — buyer’s remorse / subjective dissatisfaction: refunds are not available because each generation has real compute cost. However, every order includes one free re-generation — if the first delivered song does not quite capture the brief, you can ask us to regenerate it once at no charge.
  • Chargebacks: filing a chargeback while a refund or re-generation request is pending may result in account termination. We always prefer to resolve issues directly — please email us first.

4.4 Taxes

Prices are exclusive of any applicable taxes. You are responsible for any taxes imposed on your purchase by your jurisdiction. Where required by law, we will collect and remit applicable sales tax / VAT.

5. Intellectual property

5.1 What you give us

When you provide a creative brief, you grant AudilyNow a limited, non-exclusive, worldwide, royalty-free license to process the brief through our AI generation models (music and lyrics), store the brief and generated outputs as needed to deliver your order, and retain anonymized aggregate data for service improvement. You represent that your brief content does not infringe any third party’s rights. You retain ownership of the original ideas you submitted.

5.2 What we deliver to you

Upon successful payment, we grant you a perpetual, worldwide, non-exclusive license to use the delivered MP3 for personal, non-commercial purposes — playing it for your recipient, sharing the public song page with friends and family, putting it on a personal playlist, or including it in a non-monetized social-media post.

Commercial use (using the song in advertising, monetized content, paid performance, on-sale merchandise, etc.) requires a separate commercial license, which is not included with the standard $10 order.

The audio is generated by AudilyNow’s own self-hosted AI models.

You may NOT:

  • Resell or redistribute the song as a standalone product.
  • Use it to train another AI model.
  • Claim authorship of the AI-generated output (see Section 5.3).
  • Use it in a way that targets, demeans, or impersonates a real, identifiable person without that person’s consent.

5.3 Copyright limitations on AI-generated content

Under current U.S. Copyright Office guidance, AI-generated content without substantial human authorship is not eligible for copyright protection. While we grant you the license described above, we make no representation that you can register a copyright in the delivered song or prevent third parties from copying it. If you intend to register or enforce copyright, you must add substantial human authorship and seek qualified legal counsel.

5.4 Our IP

The AudilyNow brand, software, and pre-canned content (persona library, templates, graphics) are our property. You may not copy, modify, or distribute them.

6. Acceptable use

You agree not to use the Service to:

  • Infringe any intellectual property rights — including requesting AI re-creations of recognizable artists, copyrighted lyrics, or trademarked phrases.
  • Generate hateful, harassing, defamatory, or sexually explicit content involving real or identifiable people.
  • Generate content that sexualizes minors in any form.
  • Generate content that promotes violence, self-harm, or illegal acts.
  • Impersonate another person without consent.
  • Interfere with the Service’s normal operation (scraping, denial of service, exploitation of bugs).
  • Resell access to the Service.
  • Submit automated requests at a rate higher than a human user could reasonably submit.

We may refuse to fulfill or deliver any order that violates this section, with no refund obligation.

7. Account security

You are responsible for safeguarding your password and must not share your account credentials. Notify us immediately if you suspect unauthorized access. We use industry-standard practices to protect accounts (password hashing, rate limiting, audit logging) but cannot guarantee absolute security.

8. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUDILYNOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $50 USD OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow limitations on implied warranties or the exclusion of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify and hold AudilyNow harmless from any claim, demand, loss, or damage (including reasonable attorneys’ fees) arising from (a) your breach of these Terms; (b) content you submit to the Service; or (c) your violation of any applicable law.

10. Termination

You may close your account at any time via account settings or by emailing us. We may suspend or terminate your account if you violate these Terms, fail to pay, attempt to defraud us, or for any reason with reasonable notice. Provisions that should survive termination (IP rights you have granted us, liability limitations, dispute resolution) remain in effect.

11. Governing law and dispute resolution

These Terms are governed by the laws of [governing jurisdiction — to be finalized], without regard to its conflict-of-law principles. Any dispute shall be resolved by binding arbitration administered by [arbitration body — to be finalized] under its consumer rules. You may opt out of arbitration by emailing us within 30 days of first agreeing to these Terms. Each party waives the right to participate in a class action.

12. Changes to these Terms

We may modify these Terms from time to time. Material changes will be announced by email and via an in-app banner at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
